Notice is hereby given that the Annual General Meeting of the Pedal Power Association will be held on Monday 02 September 2013, at 18:00 for 18h30 at the Canal Walk Auditorium, Canal Walk Shopping Centre.

Members are reminded that in terms of clause 4.2 of the constitution, nomination of candidates for election to the committee shall be in writing, signed by the member and accompanied by the written consent of the candidate nominated, so as to be received at the domicilium of the Association, P O Box 665, Rondebosch 7701 or at the physical address at 9 Hill Park Lane, Mowbray, not later than five days before the meeting.
Provided that notwithstanding the aforegoing, the chairman of such meeting may, in his sole discretion, allow any nominee to consent to his nomination at the meeting itself, if, in his opinion, there are special grounds therefore.
Please note that this means that the chairman cannot accept a late nomination – only a late consent to nomination. In terms of clause 4.2.1, six new committee members need to be elected at this year’s AGM.

ANNUAL GENERAL MEETING 2013: Proposed amendments to the PPA Constitution
Notice is hereby given of the following proposed changes to the Pedal Power Association Constitution, as amended. In terms of clause 8, an amendment has to be passed by a two-thirds majority.
The following amendment is introduced to bring the Constitution in line with the present structure of the Executive Committee.
4.4 The committee may fill any vacancy in their number or co-opt any other additional member/s, provided that the number of other additional members shall not exceed 10 (TEN). Any additional member so co-opted shall hold office until the next A.G.M. when he or she shall retire and be eligible for re-election as though he or she had been elected at the previous A.G.M.

4.6.8 In the event that a vacancy or vacancies occur on the committee and a suitable person is not available for co-option, the committee shall continue to function even though the number of members shall be less than 12, provided that, in the event that the number of committee members fall below eight, the remaining members of the committee shall call a special general meeting within 30 days to elect additional committee members to fill the vacancies.
The following amendments are introduced to correct spelling or grammatical errors and/or to make the Constitution gender neutral.

4A Indemnity
No committee member shall be liable to the association or to any member thereof, or to any other person whomsoever for any act or omission by himself, by the association or by it’s servants or agents. All committee members shall be indemnified by the association against any loss or damage suffered by him in consequence of any purported liability, provided that such member has, upon the basis of information known to him, or which reasonably should have been known to him, acted in good faith and without gross negligence.
